1. Introduction

This document outlines the Terms & Conditions (“Agreement”) for the sale and use of the XAG APC2 AutoPilot Console (“Product”) by Online Machine Control (“Seller”) to the customer (“Buyer”). By purchasing and/or using the Product, the Buyer agrees to these Terms & Conditions.

2. Sale of Goods

The Seller agrees to sell, and the Buyer agrees to purchase, the Product as described in the invoice or order confirmation, subject to these Terms & Conditions.

Product Details:

  • Description of the XAG APC2 AutoPilot Console, including key features, model, and specifications.
  • Any optional accessories or add-ons.

3. Price and Payment

The price for the Product is specified in the invoice or online sales portal. The Buyer agrees to pay the total amount, including all applicable taxes, shipping fees, and other charges, as indicated.

Payment Terms:

  • Full payment due upon order confirmation.
  • Accepted payment methods (e.g., credit card, bank transfer).

4. Delivery and Risk of Loss

The Seller will deliver the Product to the Buyer’s specified delivery address. Delivery times and conditions will be as stated in the online sales portal shipping options.

Risk of Loss:
Risk of loss or damage to the Product passes to the Buyer upon delivery.

Shipping and Handling:
The Buyer is responsible for any additional shipping or handling charges unless specified otherwise.

5. Installation and Setup

The Buyer acknowledges that the Product requires installation and setup, which is not included in the purchase price.

Installation Services:

  • We, the Seller, do not provide an installation service.
  • If installation is required by a third party, the Buyer’s responsibility for securing the installation service.

DIY Installation:
Instructions may be provided for Buyer installation, but the Seller is not responsible for any damages resulting from improper installation.

6. Warranty

The Product is covered by a one year warranty from the date of purchase, against manufacturing defects under normal use conditions.

Warranty Coverage:

  • Manufacturer’s defects, including hardware failure.
  • Software or firmware updates as per the seller's policy.

Exclusions:

  • Damage caused by misuse, accidents, or unauthorised modifications.
  • Loss of data or performance issues caused by third-party software or hardware.

Claim Process:
Details on how to make a warranty claim and expected response time.

7. Returns and Cancellations

The Buyer has the right to return the Product within 30 days of receipt if it is in new, unused condition. Returns will be subject to a 10% restocking fee.

Cancellation:

  • Orders may be canceled before shipping.
  • Cancellations post-shipment are subject to a 10% restocking fee and return shipping costs.

8. Licensing and Use of Software

If the Product includes software or firmware, the Buyer is granted a non-exclusive, non-transferable license to use the software solely for its intended purpose.

Software License:

  • Usage restrictions, such as prohibition against reverse engineering, decompiling, or redistribution.
  • License duration (if applicable).

Updates:

  • Seller’s responsibility for providing software updates.
  • Period for which software updates will be supported.

9. Support and Maintenance

The Seller will only offer online support and maintenance services, which may include software updates, technical documentation & support via email correspondence.

10. Limitation of Liability

The Seller shall not be held liable for any damages arising from the use or inability to use the Product, including but not limited to incidental, special, or consequential damages.

Maximum Liability:
The Seller’s liability, if any, shall be limited to the amount paid by the Buyer for the Product.

11. Indemnification

The Buyer agrees to indemnify and hold the Seller harmless from any claims, damages, losses, or expenses arising from the misuse of the Product or failure to comply with these Terms & Conditions.

12. Governing Law

This Agreement shall be governed by and construed in accordance with UK law.

13. Dispute Resolution

Any dispute arising from or relating to this Agreement shall be resolved through the UK Consumers Rights Act 2015 & Sale of Goods Act 1979 procedures unless otherwise agreed by both parties.

14. Force Majeure

The Seller shall not be held liable for any delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, strikes, or shortages of materials.

15. Amendments

The Seller reserves the right to amend these Terms & Conditions at any time. Any amendments will be communicated to the Buyer, and continued use of the Product after such amendments constitutes acceptance.

16. Severability

If any part of this Agreement is deemed invalid or unenforceable by a UK court of law, the remaining sections shall remain in full force and effect.

17. Entire Agreement

This Agreement represents the entire understanding between the Seller and the Buyer regarding the sale and use of the Product. Any prior agreements or understandings are superseded by this document.
